Terms of Service

These Terms of Service ("Terms") govern your engagement with Obsidian and our design, engineering, and strategy services. By engaging our services, you agree to be bound by these Terms.

Scope of Services

Obsidian provides digital product design, engineering, and strategy services as outlined in individual project agreements. Each project's scope, timeline, and deliverables are defined in a Statement of Work (SOW) signed by both parties.

Payment Terms

Payment terms are specified in each project agreement. Standard terms require a 50% deposit before work begins, with the remaining balance due upon project completion. Late payments may incur interest at 1.5% per month.

Intellectual Property

Upon full payment, all intellectual property rights in the deliverables transfer to you. This includes design files, source code, and any custom assets created for your project. We retain the right to showcase the work in our portfolio unless otherwise agreed.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, and user data. Confidentiality obligations survive the termination of the engagement.

Revisions and Changes

Each project includes a defined number of revision rounds as specified in the SOW. Additional revisions beyond the agreed scope may incur extra charges. Scope changes require written agreement and may affect the project timeline and budget.

Limitation of Liability

To the maximum extent permitted by law, Obsidian shall not be liable for any indirect, incidental, special, or consequential damages arising from our services. Our total liability shall not exceed the total fees paid for the specific project in question.

Termination

Either party may terminate the engagement with 14 days written notice. Upon termination, you will be billed for work completed to date and will receive all deliverables produced. Deposits are non-refundable unless otherwise agreed.

Governing Law

These Terms are governed by the laws of Germany. Any disputes shall be resolved through arbitration in Berlin.
